History of The Imbus Roofing Company, Inc.

In 1873 and 1877 the Cincinnati Directory listed Fred Ralling and Henry Imbus as operating a Stove Store and Tin Shop at 299 W. Fifth Street in Cincinnati , Ohio . In 1880 the City Directory listed only Henry Imbus as operator of the Stove Store and Tin Shop.

Ed Imbus came to work for his father and purchased the Stove Store and Tin Shop from Henry Imbus in 1910. The Stove Store business was then located at 417 W. Fifth Street and the Tin Shop was operating at the rear of the Stove Store on Home Street.

Around 1920 Eugene Imbus came to work for his father, Edward. During the Depression era the stove store was not a profitable operation so Eugene Imbus closed the stove store and devoted all his energy to the tin shop and roofing business.

In 1939 Eugene Imbus moved the business to 415 W. Court Street. The business operated there was called Imbus Brothers Roofing and Sheet Metal and in later years the business's name was changed to Imbus Roofing and Sheet Metal. To my knowledge Edward's son, Elmer, never worked at the business due to suffering from a disabling medical condition resulting from his service in World War I.

In 1950 Eugene incorporated the business as The Imbus Roofing and Sheet Metal Company, Inc. In 1946 Eugene Imbus, Jr. came to work for the company and assumed the presidency in 1961 after the death of his father.

In 1976 James Imbus, son of Eugene, Jr., came to work for the corporation and is still employed here today. Eugene Imbus, Jr. is President of the Corporation, Chairman of the Board of Directors and Treasurer; James Imbus is Vice President and Secretary of the corporation.

In 1929 Ed Imbus ran for City Council under the Charter Party and was elected. In 1932 he was then elected and served as Vice President until 1937 when he retired from Council.

Eugene Imbus, Sr. was a strong supporter of minority education in the City of Cincinnati . He was one among a group of businessmen who had established a school on Mound Street to promote education of the minority males in the City of Cincinnati. He was also very interested in Sons of Sacred Heart Seminary on Beachwood Avenue who specialized in educating priests to go to South Africa to perform missionary work.

Eugene, Sr. served as a Director of Allied Construction Industries representing the roofing contractors. Eugene was instrumental in bringing the National Roofing Contractors Convention to the City of Cincinnati in 1955. At that time it was noted as being one of the largest conventions of the National Roofing Contractors Association.

Upon the death of his father in 1961, Eugene Imbus, Jr. was appointed to the Board of Directors of Allied Construction Industries and was elected President of ACI to serve from 1967 to 1969.

Eugene Imbus, Jr. has also served with the Construction Advancement Program (CAP) of ACI from its inception to the present time. Eugene, Jr. also made great effort promoting United Way on behalf of the construction industry.

In 1964 Eugene, Jr. was a member of the Employers' Committee who established the Composition Roofers Pension Plan for Local 42 Roofers Union of Greater Cincinnati and continues to serve as an Employers' Trustee.

In 1962 Eugene, Jr. became a member of the Rotary Club of Cincinnati and is still an active member. Eugene is also a member of the Gloria Dei Lutheran Church; has served as President of the Council and continues to serve on the Building Committee.

In 1910 Ed Imbus purchased the Stove Store and Tin Shop from his father, Henry. The contract states that he shall pay $8,000.00 plus 6% interest to Henry or his wife. The documents in our possession shows the business was paid for in 1921.

We have no record of how the business was transferred to Eugene and Elmer, the two eldest of Edward's sons, but it is believed that the business was relatively small during the depression era. For that reason the Stove Store was closed and all efforts were directed to the roofing business.

In 1950, 500 shares of stock were authorized. 300 shares were issued at a value of $250.00 per share and later in 1956 an additional 100 shares of stock were purchased by Eugene Imbus, Sr. to add more capital to the company.

Upon the death of Eugene, Sr. most of the stock was in a trust fund, administrated by a banker, an attorney and Eugene, Jr. This trust fund was in existence until the death of Margurite Imbus, Eugene, Sr.'s second wife.

Upon the death of Margurite Imbus the stock in the trust fund was distributed to Eugene, Jr. and his three sisters. The company then entered into a by-agreement with two of the sisters in 1993. The agreement was to purchase the stock over a six-year period.

This allowed Eugene, Jr., his wife, Florence, and his son, James Imbus, to control over 2/3 of the stock, thus leaving control of the company in the hands of those who presently work at the business.

When the City of Cincinnati condemned the property held by the estate at 415 W. Court Street, Eugene, Jr. entered into an agreement to provide a new facility for the Corporation. The business was relocated to its new location in Wilder, Kentucky during 1972. This added to the fact that the company would remain in control of the members of the Imbus family.

James Imbus started working at The Imbus Roofing Company in 1976. In addition to serving the administrative duties of Vice President, James also spends much of his time in the office as Estimator and Job Superintendent. Prior to working full time at Imbus Roofing, James obtained his Associate's Degree in Architecture from the

University of Cincinnati while working part-time and summers at the Business driving trucks, working on roofs and doing tinwork.

James Imbus has served as President of the Greater Cincinnati Roofing Contractors Association since 1994. James also serves on the Board of Directors of Allied Construction Industries. He is also on ACI's Executive Committee and serves as Secretary of ACI.

James Imbus has received various commendations from Architects, including Glaser & Associates, for his part in designing the metal roof system on the extended window at the Cincinnati Art Museum. He has also worked with the City of Cincinnati Architects and the Planning Commission for re-roofing the tile roof on the Cincinnati City Hall. Imbus Roofing was recently low bidder for this contract and is being awarded the project.

The Corporation presently has six stockholders and four Directors operating the business. The stockholders meet annually and the Board of Directors usually meets three times a year.

The company utilizes the expertise of our accounting firm, our attorney and our banker; keeping them informed of the policies and financial operations of the business.

The Imbus Roofing Company is very proud of the work we have performed in the City of Cincinnati. Major repairs and roofing projects have been done at Cincinnati Music Hall, the Cincinnati Art Museum; Playhouse in the Park's standing seam stainless steel roofs and walls were designed and installed by Imbus; photos are enclosed.

Imbus Roofing was also involved with replacing the fire-damaged roof on Mother of God Church in Covington. Imbus Roofing has installed 20 or more steeples in Cincinnati including the Hyde Park Methodist Home in College Hill.

We also feel honored by the number of Architects in Cincinnati who call Imbus Roofing for suggestions with complicated projects or when they are planning the restoration of an historic landmark.

Sincerely,

Eugene J. Imbus, Jr.
